By accessing or using our Website or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Website or services.

By accessing our Website, submitting a contact form, engaging our services, or otherwise interacting with Praxium Labs, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

Praxium Labs is a technology company specializing in the following services:
- Artificial Intelligence Solutions: Custom AI model development, machine learning implementations, natural language processing, computer vision, and AI-powered automation systems.
- Automation & Workflow Optimization: Business process automation, robotic process automation (RPA), workflow design, and integration of automated systems into existing infrastructure.
- Web Development: Full-stack web application development, responsive website design, e-commerce solutions, progressive web applications, API development, and website maintenance.
- Technology Consulting: Strategic technology advisory, digital transformation planning, technology stack evaluation, architecture consulting, and IT infrastructure recommendations.
The specific scope, deliverables, timelines, and terms for any project or engagement will be defined in a separate Service Agreement or Statement of Work ("SOW") mutually agreed upon by both parties.
3. User Accounts & Responsibilities
Certain features of our Website or services may require you to create an account or provide information. You agree to:
- Provide accurate, current, and complete information when creating an account or submitting forms
- Maintain and promptly update your information to keep it accurate and complete
- Maintain the confidentiality of your account credentials and restrict access to your account
- Accept responsibility for all activities that occur under your account

4. Intellectual Property Rights
4.1 Our Intellectual Property
All content on this Website, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the overall design and arrangement thereof, is the property of Praxium Labs or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website without our prior written consent.
4.2 Client Project Deliverables
Unless otherwise specified in a separate Service Agreement or SOW, the following applies to project deliverables:
- Upon full payment of all fees and charges, intellectual property rights in custom-developed deliverables created specifically for the client shall be transferred to the client as specified in the applicable Service Agreement.
- Praxium Labs retains ownership of all pre-existing intellectual property, proprietary tools, frameworks, libraries, methodologies, and know-how used in or developed during the course of providing services.
- Praxium Labs reserves the right to use general knowledge, skills, experience, and techniques acquired during the performance of services for other clients and projects.
4.3 Feedback
Any feedback, suggestions, ideas, or recommendations you provide to us regarding our Website or services ("Feedback") shall become our exclusive property. We may use, reproduce, modify, and distribute such Feedback without restriction or obligation to you.
5. Service Agreements & Project Terms
All service engagements between Praxium Labs and clients are governed by individual Service Agreements or Statements of Work, which may include:
- Detailed project scope, objectives, and deliverables
- Project timeline, milestones, and deadlines
- Pricing, payment schedule, and billing terms
- Roles, responsibilities, and communication protocols
- Acceptance criteria and testing procedures
- Change order processes and scope modification procedures
- Warranty and support terms
In the event of a conflict between these Terms and a specific Service Agreement, the terms of the Service Agreement shall prevail with respect to the applicable project or engagement.
6. Payment Terms
- All fees for services will be specified in the applicable Service Agreement or SOW.
- Unless otherwise agreed, invoices are due within thirty (30) days of the invoice date.
- Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is less.
- All fees are exclusive of applicable taxes, duties, and levies, which shall be the responsibility of the client unless otherwise stated.
- We reserve the right to suspend or terminate services if payments are not received within the agreed timeframe.
- Refunds, if applicable, will be handled in accordance with the terms specified in the relevant Service Agreement.
7. Confidentiality
Both parties acknowledge that during the course of the engagement, they may receive or have access to confidential information belonging to the other party ("Confidential Information"). Each party agrees to:
- Hold all Confidential Information in strict confidence and not disclose it to any third party without the prior written consent of the disclosing party
- Use Confidential Information solely for the purpose of fulfilling obligations under the applicable Service Agreement
- Take reasonable measures to protect the confidentiality of such information, using at least the same degree of care as it uses to protect its own confidential information
- Return or destroy all Confidential Information upon termination of the engagement or upon request by the disclosing party
Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party prior to disclosure; (c) is independently developed without use of the Confidential Information; or (d) is required to be disclosed by law or court order.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- Praxium Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, goodwill, or other intangible losses, arising out of or in connection with your use of our Website or services.
- Our total aggregate liability for any claims arising out of or relating to these Terms or our services shall not exceed the total amount paid by you to Praxium Labs during the twelve (12) months preceding the event giving rise to the claim.
- We do not warrant that our Website or services will be uninterrupted, error-free, or free of viruses or other harmful components.
- Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Indemnification
You agree to indemnify, defend, and hold harmless Praxium Labs, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
- Your access to or use of our Website or services
- Your violation of these Terms
- Your violation of any third-party right, including any intellectual property, privacy, or proprietary right
- Any content or materials you provide to us in connection with our services
- Any claim that content or materials you provided caused damage to a third party
10. Termination
We reserve the right to suspend or terminate your access to our Website or services at any time, with or without cause and with or without notice, if we believe you have violated these Terms or if your conduct may harm Praxium Labs or other users.
For ongoing service engagements, termination provisions will be specified in the applicable Service Agreement. In general:
- Either party may terminate a Service Agreement for material breach if the breach remains uncured for thirty (30) days after written notice
- Either party may terminate for convenience with sixty (60) days' written notice, subject to payment for all services rendered and expenses incurred up to the date of termination
- Upon termination, all outstanding invoices become immediately due and payable
- Provisions relating to intellectual property, confidentiality, limitation of liability, and indemnification shall survive termination
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Nepal, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Nepal for the resolution of any disputes arising out of or relating to these Terms or your use of our Website or services.
12. Dispute Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the breach thereof, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through:
- Mediation: The parties may agree to submit the dispute to mediation administered by a mutually agreed-upon mediator in Nepal.
- Arbitration: If mediation is unsuccessful or not pursued, the dispute shall be resolved by binding arbitration conducted in Nepal in accordance with applicable arbitration rules.
- Litigation: Either party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction in Nepal to protect its intellectual property rights or confidential information.
13. Changes to These Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. When we make material changes, we will update the "Effective Date" at the top of this page and, where appropriate, notify you via email or through a prominent notice on our Website. Your continued use of our Website or services after any such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
14. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.
15. Entire Agreement
These Terms, together with our Privacy Policy and any applicable Service Agreements, constitute the entire agreement between you and Praxium Labs regarding the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
16. Waiver
The failure of Praxium Labs to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Praxium Labs.
